Terms of Service

Deadpan Ads is a done-for-you comedic video ad production platform operated by Enduring Atlas LLC (“Deadpan,” “we,” “us”) at app.deadpanads.com. You brief your brand, choose from proposed commercial concepts, approve scripts, characters, voices, and scenes at each stage, and receive finished, broadcast-quality video advertisements for your brand.

These Terms of Service (“Terms”) are a binding agreement between you and Enduring Atlas LLC and govern your access to and use of the platform and everything produced through it. If you use the service on behalf of a company, you represent that you have authority to bind that company, and “you” means that company.

Anyone can create an account directly at app.deadpanads.com — sign-up is self-serve. You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your login credentials secure. The service is intended for business use by people who are at least 18 years old.

We may suspend or terminate accounts that violate these Terms, abuse the platform, or create risk for us or other customers. You may stop using the service and close your account at any time.

Production on Deadpan is paid for with credits. One credit equals one US dollar ($1). Credits are debited when you spend them on a production.

Once credits are spent on a production, they are non-refundable. If a production fails on our end — meaning we cannot deliver what you paid for — the credits spent on that production are automatically returned to your account. Credits have no cash value outside the service and are not transferable between accounts.

Paid plans are billed as recurring subscriptions through Stripe, our payment processor. By subscribing, you authorize Stripe to charge your payment method on each renewal until you cancel. Cancellation takes effect at the end of the current billing period; you keep access until then.

If we change subscription pricing, we will notify you before the change applies to your plan. You are responsible for any applicable taxes. If a renewal payment fails, we may pause your access until payment is resolved.

Credits spent on a production are non-refundable once production has run. This is because production work is performed and costs are incurred as soon as a production starts.

If a production fails — you do not receive the deliverable — the credits spent on it are refunded to your account automatically. You do not need to file a request for failed productions.

Monthly subscription fees are non-refundable except where required by law. Canceling stops future renewals; it does not refund the period already paid for, and your credits and access remain available through the end of that period.

For billing questions, duplicate charges, or anything that looks wrong on your invoice, contact us at support@deadpanads.com and we will make it right where a mistake is ours.

You retain ownership of the brand briefs, brand assets, and other materials you upload. You grant us a license to use those materials to operate the service and produce your commercials. You are responsible for having the rights to everything you upload.

You own the ad videos and scripts we deliver to you for your brand, and you may use them anywhere — paid media, organic, broadcast, or otherwise. We retain all rights to our production methodology, tools, and systems, including everything under the hood that turns a brief into a finished spot. Delivery of your ads transfers ownership of those deliverables to you; it does not transfer any rights in how they were made.

You agree not to use the service to:

• Produce ads that are unlawful, deceptive, defamatory, or that infringe someone else's intellectual property, publicity, or privacy rights;
• Upload materials you do not have the rights to use;
• Promote products or claims that are illegal or fraudulent, or that violate the advertising policies of the platforms where the ads will run;
• Probe, disrupt, reverse engineer, or circumvent the platform, its usage limits, or its security;
• Resell or provide access to the service to third parties except for producing ads for brands you are authorized to represent.

We may decline to produce content that violates this section and may suspend accounts that repeatedly attempt it.

Advertising outcomes depend on factors outside our control — your offer, your audience, your media buying, the weather in the algorithm that week. We do not guarantee that any ad we produce will achieve any particular views, engagement, conversions, return on ad spend, or other performance result. The service and all deliverables are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law.

To the fullest extent permitted by law, Enduring Atlas LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the service — even if we have been advised of the possibility of such damages.

Our total liability for all claims arising out of or related to the service is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim.

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or the service will be brought in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you through the service or by email. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
